Welcome to Export Import Leadership Institute by Viral Shah (EILI) (“EILI”, “Institute”, “we”, “our”, or “us”).

These Terms & Conditions govern your access to and use of our website, academic programs, digital content, mentorship services, workshops, and all related offerings.
By enrolling in or accessing our services, you agree to be legally bound by these Terms.
1. Binding Legal Agreement
These Terms constitute a legally enforceable agreement between you (“Participant”, “User”, or “You”) and EILI, having its registered office in Surat, Gujarat, India.
By registering for any program, you confirm that:
- You have read and understood these Terms.
- You agree to comply with them fully.
- You possess the legal capacity to enter into this agreement.
2. Modification of Terms
EILI reserves the right to revise or update these Terms at its sole discretion.
Revised Terms shall become effective immediately upon publication on the website.
Continued use of services after such updates constitutes acceptance of the revised Terms.
3. Eligibility
- Minimum age requirement: 15 years.
- Participants under 18 must have parental or guardian consent.
- EILI reserves the right to reject or cancel registrations if eligibility criteria are not satisfied.
4. Fees, Payment & GST Compliance
4.1 Payment Obligation
Full payment is required at the time of registration unless otherwise agreed in writing.
Registration is confirmed only upon receipt of cleared funds.
4.2 GST & Taxation
- All fees are subject to applicable Goods and Services Tax (GST) under Indian law.
- GST shall be charged at prevailing statutory rates.
- GST liability arises upon invoice generation.
4.3 GST Deduction in Refund Cases
In case of approved refunds (as per Refund Policy):
- GST already deposited with government authorities may not be refundable, subject to statutory provisions.
- Payment gateway charges, administrative charges, and applicable taxes may be deducted from the refund amount.
- Participants must provide correct GSTIN details prior to invoice generation.
- EILI shall not be liable for denial of Input Tax Credit due to incorrect information provided by the participant.
Invoices once issued shall not be modified except as required by law.
5. Intellectual Property Rights
All materials provided by EILI, including:
- Course frameworks
- Export-import systems
- Presentations and recordings
- Proprietary models
- Branding and academic content
Are the exclusive intellectual property of EILI and/or its founder.
You are granted a limited, personal, non-transferable usage right strictly for educational purposes.
Unauthorized reproduction, resale, redistribution, recording, or commercial use is strictly prohibited and may lead to civil and criminal action.
6. Non-Compete Clause
To protect institutional intellectual property and proprietary methodologies:
Participants agree that during the course period and for a period of 24 months after completion, they shall not:
- Replicate, copy, or substantially reproduce EILI’s proprietary course structure or frameworks for commercial training purposes;
- Establish or promote a competing training program using substantially similar structured content derived from EILI materials;
- Use EILI confidential materials for commercial educational delivery without written authorization.
This clause does not restrict participants from independently conducting export-import business activities. It only applies to replication of institutional academic systems.
7. Non-Solicitation Clause
Participants agree that for a period of 24 months from the date of enrolment, they shall not:
- Directly or indirectly solicit EILI faculty, employees, contractors, or trainers for employment or collaboration;
- Solicit existing EILI students or participants for competing educational programs;
- Induce or attempt to induce any student or team member to discontinue association with EILI.
Violation may result in legal remedies including injunctive relief and damages.
8. Academic & Professional Disclaimer
EILI provides educational training and professional development only.
We do not guarantee:
- Business profitability
- Regulatory approvals
- Government registrations
- Client acquisition
- Export-import success
Results depend on market conditions, compliance, and participant execution.
Participants are solely responsible for regulatory compliance and business decisions.
9. Limitation of Liability
To the fullest extent permitted by law, EILI shall not be liable for:
- Indirect or consequential damages
- Business loss or loss of opportunity
- Regulatory penalties incurred by participants
- Technical interruptions beyond control
Maximum liability, if any, shall not exceed the fee paid for the relevant program.
10. Code of Conduct
EILI maintains a disciplined, premium academic environment.
Disruptive, unethical, defamatory, or abusive behavior may result in immediate removal from programs without refund.
11. Suspension & Termination
EILI reserves the right to suspend or terminate access without prior notice if:
- Terms are violated
- Intellectual property misuse occurs
- Fraudulent payment disputes or chargebacks are initiated
- Conduct harms institutional reputation
Termination shall not create entitlement to compensation.
12. Third-Party Platforms
Use of third-party tools (payment gateways, video platforms, communication apps) is subject to their respective policies.
EILI is not responsible for third-party failures or data handling.
13. Force Majeure
EILI shall not be liable for delay or failure caused by events beyond reasonable control, including:
- Government restrictions
- Regulatory changes
- Natural disasters
- Internet failures
- Public emergencies
14. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the competent courts located in Surat, Gujarat, India, where the Institute’s registered office is situated.
15. Entire Agreement
These Terms, along with the Privacy Policy and Refund Policy, constitute the entire agreement between you and EILI.
If any provision is deemed invalid, remaining provisions shall continue in full force.
16. Confidentiality Clause
EILI provides structured export-import frameworks, proprietary methodologies, business systems, templates, supplier strategies, buyer development models, and trade execution processes that constitute confidential and commercially sensitive information.
By enrolling in any program, the Participant agrees that:
- All proprietary materials shared during training (whether oral, written, digital, or recorded) shall be treated as strictly confidential.
- Confidential Information includes, but is not limited to:
- Export-import business models
- Market entry strategies
- Buyer sourcing systems
- Documentation frameworks
- Pricing methodologies
- Supplier evaluation structures
- Internal training architecture
- Trade execution templates
- The Participant shall not:
- Disclose such information to third parties;
- Share materials with non-enrolled individuals;
- Upload or distribute content online or offline;
- Use proprietary frameworks for commercial training purposes.
- Confidentiality obligations shall continue for a period of 5 years from the date of enrolment, regardless of course completion status.
Any breach of confidentiality may cause irreparable harm to EILI. The Institute shall be entitled to seek injunctive relief, damages, and legal remedies without limitation.
This clause does not restrict Participants from conducting their own independent export-import business using knowledge gained through learning. It strictly protects proprietary institutional structures.
17. Dispute Resolution & Arbitration
EILI believes in professional and amicable resolution of disputes. However, to protect institutional interests, the following dispute mechanism shall apply:
17.1 Amicable Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or participation in any program, the parties shall first attempt to resolve the matter through written communication and good-faith discussion within 30 days.
17.2 Arbitration
If the dispute is not resolved amicably:
- The matter shall be referred to sole arbitration under the provisions of the Arbitration and Conciliation Act, 1996 (India), as amended.
- The arbitration shall be conducted by a sole arbitrator appointed by EILI.
- The seat and venue of arbitration shall be Surat, Gujarat, India.
- The language of arbitration shall be English.
The decision of the arbitrator shall be final and binding on both parties.
17.3 Jurisdiction for Interim Relief
Notwithstanding the arbitration clause, EILI reserves the right to approach competent courts in Surat, Gujarat, India for:
- Interim injunctions
- Intellectual property protection
- Confidentiality enforcement
- Recovery of dues
17.4 Legal Costs
In the event of dispute, the losing party shall bear reasonable legal and arbitration costs, unless otherwise directed by the arbitrator.
18. Survival of Clauses
The following clauses shall survive termination of participation:
- Intellectual Property
- Non-Compete
- Non-Solicitation
- Confidentiality
- Limitation of Liability
- Dispute Resolution
Final Acknowledgment
By enrolling in or accessing services from Export Import Leadership Institute by Viral Shah (EILI), you confirm that:
- You have carefully read these Terms & Conditions;
- You understand the legal implications;
- You agree to be legally bound by them.
